What is Annual Return?​

Part of a Company’s annual compliance matters, an annual return is a form submission to ACRA that must be submitted electronically annually to ACRA; and is mandatory for all Singapore registered companies. A fee of $60 is payable to ACRA for every submission.

The annual return holds information of the company such as the name, and particulars of directors, company secretary as well as shareholders and other stakeholders of the company.

The purpose of the annual return is to provide key information to help in informed decision making for the company’s stakeholders. You may appoint Leftright Corporate as your company secretary or engage us in a one-time assistance with annual returns filing.

Late filing fees​

ACRA will impose a minimum fee of $300 up to a maximum of $600 for Annual Return filing that has been past its deadline.

For companies who should’ve held an AGM, that have held it late is also liable to a late fee of another $300.

For companies with Financial Year Ending (FYE) on or after 31st August 2018, the deadline for filing of Annual Return for non-listed companies is 7 months after its Financial Year End (FYE), and 5 months after FYE for listed companies.

A late filing charge of at least $300 will be imposed by ACRA if submissions are late.

What do I need to prepare in order to engage your filing service?

We would need:

  • Your latest Business Profile.
  • Ensure that your Financial Statements are prepared according to the Singapore Financial Reporting Standard (SFRS).
  • Respective authorization letter.
  • If AGM has been held, the date it was held.
  • Information on whether there had bene movement / changes in the number of shares from the previous filing date till present.
What if since incorporation, or my last recent filing, there had been changes to my company particulars?

In order for us to accurately file your Annual Return, you must inform us of the changes to your Company’s particulars. Examples include:

  • Change in Company name
  • Change in registered address
  • Change in Share Capital
  • Transfer of Shares
  • Change in Company’s principal business activities

You must also ensure that these changes had already been earlier submitted to ACRA. You may check with your Company Secretary, or appoint Leftright Corporate as your Company Secretary.

What happens if I do not file an Annual Return at all?

If you are late in filing, ACRA will charge an additional $300 late fee as penalty.

If you fail to file your Annual Return, ACRA may consider prosecuting the directors, as this is a direct breach of the Companies Act.

Companies that continually fail to file for Annual Return for subsequent years can be struck off from the registrar.
