The compliance year

Singapore compliance runs on a fixed annual cycle. We hold that calendar for you and work to it from the first month, rather than assembling a year of records in the weeks before a deadline.

Monthly plan

Books kept current monthly

For Monthly Accounting clients, transactions are reconciled regularly in your selected cloud accounting software. This keeps the accounts current and gives you an up-to-date view of the company’s financial position.

Within 3 months of FYE

Estimated Chargeable Income

We determine whether ECI filing is required, compute it where required, and file with IRAS within 3 months of FYE. Companies with annual revenue of S$5 million or less and nil ECI qualify for the filing waiver.

Within 6–7 months of FYE

Financial statements, AGM and Annual Return

We prepare the financial statements and AGM documentation where an AGM is required. For non-listed companies, an AGM is due within 6 months of FYE when required, and the Annual Return is due within 7 months. Private companies may qualify for an AGM exemption or dispense with the AGM.

By 30 November

Form C-S or Form C

The corporate tax return for the Year of Assessment, with the exemptions and deductions the company is entitled to properly claimed.

Acronyms, decoded

If you’ve come across one of these terms in an ACRA letter or IRAS notice, here’s what it means.

ACRA

Accounting and Corporate Regulatory Authority: Singapore’s regulator of business entities, public accountants and corporate service providers.

IRAS

Inland Revenue Authority of Singapore: Singapore’s tax authority for corporate income tax, GST, withholding tax, stamp duty and other taxes.

ECI

Estimated Chargeable Income: a company’s estimate of its taxable income for a Year of Assessment. It is filed with IRAS within 3 months of FYE unless the filing waiver applies.

Form C-S

Simplified corporate income tax return for qualifying Singapore-incorporated companies with annual revenue of S$5 million or less. The company must also derive income taxable at the prevailing corporate tax rate and must not claim specified items such as group relief or foreign tax credits.

SFRS

Singapore Financial Reporting Standards form part of Singapore’s financial reporting framework. The accounting framework used depends on the company and the applicable eligibility requirements; eligible entities may use SFRS for Small Entities.

XBRL

eXtensible Business Reporting Language: the structured format used for filing financial statements with ACRA when XBRL filing applies. The filing format depends on the company’s filing requirements and exemptions.

UEN

Unique Entity Number: the identifier used for your company across Singapore government agencies, including ACRA and IRAS.

AGM

Annual General Meeting: a meeting at which the company’s annual matters, including financial statements where applicable, are dealt with. Private companies may be exempt from holding an AGM if they meet the statutory conditions, or may dispense with the AGM.

The main difference between our Complete and Standard annual compliance packages is who prepares the bookkeeping and management accounts.

With the Complete package, we handle the bookkeeping according to your selected reporting frequency. For Monthly Accounting clients, this includes data entry, reconciliations, ledgers and monthly financial reporting.

With the Standard package, you maintain the bookkeeping and provide us with complete management accounts, including the Profit and Loss and Balance Sheet.

We use those accounts to prepare the annual corporate tax filing, financial statements and ACRA compliance work included in the package.

An employee within the company, a director, or an in-house accountant may prepare the company’s accounting records and financial information. You may also engage an external accounting service provider such as Leftright Corporate to prepare the accounts and financial statements.

Singapore companies prepare financial statements under the accounting framework applicable to them. Singapore’s prescribed accounting standards include Singapore Financial Reporting Standards and related frameworks.

Eligible entities may use SFRS for Small Entities. We determine the applicable reporting framework when preparing the company’s financial statements.

A Singapore company may qualify for audit exemption under the small company criteria. A small company is a private company that meets at least 2 of these 3 thresholds:

  • Total annual revenue of S$10 million or less
  • Total assets of S$10 million or less
  • 50 employees or fewer

For an existing company, the criteria are assessed for the immediate past two consecutive financial years. Group companies must also satisfy the small group requirements. Dormant companies may qualify for a separate audit exemption.

Companies that are required to file financial statements with ACRA may need to file them in XBRL, depending on the company’s type and filing requirements. Where XBRL applies to the financial statements we prepare, we handle the filing as part of the applicable annual compliance work.

Yes. Corporate tax filing is included. We determine whether ECI needs to be filed, compute and file it where required, and prepare and file the applicable Form C-S or Form C with IRAS.

Yes. Section 171 of the Companies Act 1967 requires every Singapore company to have at least one Company Secretary. The office must not be left vacant for more than six months.

The secretary must be a natural person who is ordinarily resident in Singapore. The appointed Company Secretary supports the company with its ongoing statutory compliance matters.

Our Company Secretary service covers ongoing statutory work such as maintaining statutory registers, preparing corporate resolutions, filing the Annual Return and handling ACRA correspondence.

We work to the filing calendar rather than to the deadline and begin preparing ahead of each due date. If you join us with a filing that is already overdue, tell us at sign-up and we will identify the outstanding filings and prioritise the backlog.

Yes. We collect the prior financial records and opening balances, review the handover position and continue from the agreed point. If historical records require separate catch-up or remediation work, we identify that before proceeding.

A dormant company must still meet its applicable ACRA and IRAS obligations, but ECI filing may be waived when the company meets IRAS’s filing waiver conditions. We offer a separate Dormant Company Compliance package for dormant companies at $650 per year.

Corporate tax, including ECI where filing is required and Form C-S or Form C, is included in every package on this page. GST registration and GST return filing are separate services and are quoted separately if your company is GST-registered.
