The requirement, explained

Company Secretary Requirements in Singapore under Section 171

Every Singapore company must appoint at least one company secretary within six months of incorporation. For a local company, ACRA states that the secretary must be a real person, meet Singapore’s local residency rules, and not be the same person as the sole director. Public companies have additional qualification requirements under the Companies Act 1967.

The six-month timeframe gives a newly incorporated company time to put the appointment in place. Once appointed, the company secretary helps keep recurring compliance matters organised from the start.

A vacancy cannot exceed six months

A company must appoint a secretary within six months of incorporation, and the position cannot remain vacant for more than six months. ACRA states that if it does, the director may face a fine of up to S$1,000.

The terms, decoded

If one of these has turned up in an ACRA letter or a resolution you have been asked to sign, here is what it actually means.

Section 171

The Companies Act 1967 provision requiring every Singapore company to appoint a company secretary within six months of incorporation. Public companies have additional qualification requirements for the secretary.

ACRA

Accounting and Corporate Regulatory Authority, Singapore’s regulator of companies and corporate service providers. Your secretary is named on its public record of your company.

Bizfile

ACRA’s online filing portal. Annual Returns, changes in company particulars and officer appointments are all lodged through it.

Annual Return

The yearly filing confirming your company’s particulars to ACRA. Due within seven months of financial year end for a private company.

RORC

The Register of Registrable Controllers records who ultimately owns or controls the company. We maintain the register and applicable ACRA filings as part of your company’s compliance records.

AGM

Annual General Meeting, where financial statements are laid before shareholders. Private companies may dispense with it where the conditions are met.

EGM

Extraordinary General Meeting, meaning any general meeting other than the AGM, typically called for a specific decision that cannot wait.

Resolution in writing

A decision of the directors or members recorded and signed without holding a meeting. Most routine company changes are made this way.

Directors remain responsible for ensuring the company meets its statutory obligations.

Yes. Every Singapore company must have at least one company secretary, and a newly incorporated company must appoint one within six months of registration.

Yes. In Singapore, “corporate secretary” and “company secretary” are commonly used to describe the same function. The statutory term used in the Companies Act and by ACRA is company secretary. Providers may also describe the wider outsourced service as corporate secretarial services.

Private companies may be exempt from holding an AGM or may dispense with AGMs where the statutory conditions are met. Even where no AGM is held, other annual compliance obligations can still apply, including the preparation or circulation of financial statements where required and the filing of the Annual Return. We prepare the standard company secretarial documents required for your applicable process.

For a Singapore company, ACRA states that the company secretary must be a real person, be a Singapore citizen, Singapore permanent resident or otherwise meet local residency rules, and not be the same person as the sole director. Public companies have additional qualification requirements under the Companies Act 1967.

No. Where there is only one director, that person cannot also hold the secretary position. A second individual is required.

Yes, if the individual meets Singapore’s local residency rules. ACRA notes that FIN holders should confirm with the relevant pass issuer whether they may accept the appointment. A person who does not meet the local residency requirements cannot be appointed simply because they are able to work remotely from overseas.

Not necessarily. ACRA’s general eligibility requirements for a local company’s secretary are that the person is a real person, meets Singapore’s local residency rules, and is not the same person as the sole director. Public-company secretaries are subject to additional qualification requirements under the Companies Act 1967. Leftright’s own appointment and staffing standards are separate from the statutory minimum.

A registered office address (S$245 a year), nominee director service, and complex structural changes or advisory work are billed separately. These are shown separately because they are not part of the annual company secretary plan.

Once the required appointment or transfer documents have been signed and returned, we lodge the change with ACRA on the same day. If there is anything outstanding that prevents the change from being completed, we tell you before proceeding.

No. Switching is free. We prepare the transfer paperwork and notify your existing provider on your behalf, then coordinate the appointment documents required for the change. You do not need to manage the handover paperwork yourself.

Compare the renewal fee as well as the first-year price, check exactly which recurring and ad hoc work is included, confirm whether the S$60 Annual Return filing fee is inside the quoted price, and ask whether you will have a named person or a shared inbox. Those points make provider comparisons much more meaningful than headline price alone.
