Who can incorporate
Eligibility for local and foreign founders
Singapore citizens and foreigners can own shares in a Singapore private limited company. The company must have at least one director who is ordinarily resident in Singapore. The statutory requirements below apply to the company, its directors and shareholders.
Singapore residents

Age 18 and above. Anyone 18 or older who is not an undischarged bankrupt or a disqualified director can be a shareholder or director.

At least one director ordinarily resident in Singapore. A Singapore citizen, permanent resident, or another person who meets ACRA’s local residency rules can fill this seat.

One to fifty shareholders. A shareholder may be an individual or a corporate body, and the same person can be both director and shareholder.

Paid-up capital from $1. There is no maximum, and you can increase share capital at any time after incorporation.

A Singapore registered office address. An HDB flat or private home can be used under the Home Office Scheme once the HDB or URA requirements are met. A P.O. box is not allowed. If you need an address, our registered office address is $245 a year.

A company secretary within six months. Required under the Companies Act. Twelve months of company secretary service is already inside the $648 fee.
Foreign founders

100% foreign ownership is allowed. No local shareholder is required, and there is no restriction on the nationality of shareholders.

A resident director is still required. If you do not have one, our nominee director can fill the resident director seat. Under our service arrangement, the nominee does not manage day-to-day operations, but remains a director with the same statutory and fiduciary duties as any other director.

You do not need to relocate. The company can be registered while you are overseas, and every document is signed electronically.

Planning to move here? An Employment Pass application is made through the company after incorporation. An EntrePass can be applied for before or after incorporation. If the company is more than 12 months old when you apply, MOM assesses the application against the EntrePass renewal criteria.

A Singapore registered office is required. Use our registered address service at $245 a year, including mail handling.

Before you file
Choosing a company name ACRA will approve
Name approval is usually instant, but it is also one of the most common reasons an incorporation can stall. We run the search with you before anything is filed, so a referral or rejection is identified before the application reaches the queue. Must be unique
ACRA rejects a name identical to an existing company or registered business name. Punctuation, spacing and suffixes such as “Pte Ltd” are ignored in the comparison. “Blue Ocean” and “Blue-Ocean” read as the same name.
Cannot be undesirable
Names that are obscene, offensive or contrary to the public interest are refused outright. There is no appeal worth filing on these.
May be referred for approval
Certain words trigger a referral to another authority and add 14 to 60 days: bank, finance, insurance, capital markets, school, university, media, medical and legal terms among them.
Reserved for 120 days
An approved name is held for 120 days from approval. Incorporate inside that window or the name is released back to the register.
A trade mark is separate
Name approval is not a trade mark. A name can be registered at ACRA and still infringe someone’s mark. Check IPOS separately if the name carries your brand.
Have two or three candidates ready in order of preference. If the first is taken, we file the next one the same day rather than coming back to you for another round.

Apply for a CorpPass Admin account one day after your UEN is issued. CorpPass is the authorisation system used for government-to-business digital services, including Bizfile and IRAS services.

Register for GST if it applies
GST registration is compulsory if taxable turnover exceeds $1 million for the calendar year, or if you reasonably expect taxable turnover to exceed $1 million in the next 12 months. Voluntary registration is available if you meet IRAS conditions.

Meet your AGM and annual return deadlines
For a private company, the AGM is due within six months after financial year end unless the company is exempt from holding an AGM. The annual return is due within seven months after financial year end. Your company secretary prepares the required documents and lodges the ACRA annual return.

Bundled, the secretary, statements and tax filing come to $990 a year as Standard Company Compliance, or from $1,310 a year for the complete package.
Corporate tax is separate
Singapore’s corporate income tax rate is 17%. A qualifying new start-up company can claim the Start-Up Tax Exemption for its first three years of assessment: 75% exemption on the first $100,000 of normal chargeable income and 50% on the next $100,000.
Your first year is lighter
The $648 incorporation fee includes twelve months of company secretary, so that renewal starts in year two. A company’s first financial year can run for up to 18 months without ACRA approval, depending on the financial year end chosen at incorporation.
For founders abroad
Setting up from outside Singapore
You do not need to be a citizen, a permanent resident or a pass holder to own a Singapore company. There are two routes, and the right one depends on whether you intend to move here.
Either way, we file as your agent. Every document is signed electronically, and you never need to be in the country for the registration itself.

Prepare the company setup. We confirm the shareholding, resident-director arrangement and registered office before filing.

Choose the right work-pass route. For an Employment Pass, the Singapore company applies after incorporation. For an EntrePass, you can apply before or after incorporation. If the company is more than 12 months old when you apply, MOM assesses the application against the EntrePass renewal criteria.

Open a corporate bank account. Most local banks want an in-person KYC meeting, though a few digital providers will onboard you while you are still overseas.

Move and onboard. Once the pass is approved you can relocate and take the resident director seat yourself. We continue as your company secretary.

Who can start and register a Singapore company?
Singapore citizens and foreigners can own a Singapore company. A director must be at least 18, meet the director eligibility requirements and not be disqualified. At least one director must be ordinarily resident in Singapore. We provide a nominee director if you do not have a suitable resident director.
How long does it take to register a company?
Most incorporations are live within one to three business days once the name is approved and the documents are signed. Names containing regulated words such as “bank”, “finance”, “insurance” or “school” are referred to another authority and can add 14 to 60 days.
How much capital do I need to set up a company?
The legal minimum is $1 of paid-up capital and there is no maximum. Share capital can be increased at any time after incorporation, so there is no need to over-capitalise at registration.
I am a foreigner: can I set up a Singapore company?
Yes. 100% foreign ownership is allowed and no local shareholder is required. The company still needs at least one director ordinarily resident in Singapore. If you do not have one, a nominee director can fill that seat. If you plan to relocate, the Employment Pass and EntrePass routes have separate MOM eligibility requirements.
What documents do I need to provide?
For every director and shareholder: a passport or NRIC copy, proof of residential address such as a utility bill or bank statement, and a short description of the intended business activity. KYC is completed digitally. Nothing needs printing or posting.
What should I decide before we file?
Your company name, with a second and third choice in reserve; the share structure and each shareholder’s percentage; the financial year end; and the primary business activity. We guide you through selecting the right SSIC code.
Do I need a business licence to operate?
Most businesses do not. F&B, financial services, education, healthcare, employment agencies and a handful of other sectors need a licence from their regulator before trading. We flag which ones apply during onboarding.
Can I use my home address as the registered office?
Yes, if the property is registered under the HDB or URA Home Office Scheme and its conditions are met. A P.O. box is not acceptable. If you do not want to use your home address, our registered office address is $245 a year.
Is the $648 fee really all-in?
Yes. It covers the $15 ACRA name reservation, the $300 ACRA registration fee, your full document pack and twelve months of registered company secretary. There is no GST on it and no separate disbursement invoice afterwards.
What happens after the first twelve months?
Company secretary renews at $328 a year. It is the same fee we quote a brand new secretary client, and the $60 ACRA annual return fee is inside that price. We do not raise the fee at renewal.
What else should I budget for?
Optional services, each with a published price: registered office address $245 a year, bookkeeping from $110 a month, unaudited financial statements from $350 a year, and corporate tax computation and filing at $500 a year. Nothing is billed as a surprise.
What happens after the company is registered?
You will typically open a corporate bank account, set up CorpPass, organise bookkeeping, register for GST if it applies, and apply for any sector licence your business needs. We work through each step with you rather than handing over a checklist. A company stamp is optional for most Singapore companies, although some businesses still use one for documents and administrative purposes.
